Meritage Hospitality Files Chapter 11, Puts Up to 60 Wendy's Units at Risk as Beef Costs Stay Elevated
A major Wendy's franchisee entered bankruptcy in September 2025, accelerating closures amid persistent beef price inflation. Federal import measures from Argentina have not lowered costs enough to stabilize operator finances. The case illustrates franchisee-level insolvency as the current constraint on chain expansion rather than brand strategy.
Meritage reported a $31.5 million net loss for 2025 and an additional $23.1 million loss in the first half of 2026. The operator cited weak same-store sales, prior aggressive discounting, and marketing shifts under previous Wendy's leadership. High ground beef prices, up more than 22 percent since January 2025, compounded the pressure despite the administration's tariff adjustments on Argentine imports.
The filing has produced a direct contractual dispute: Wendy's claims Meritage owes roughly $147 million in royalties and fees. This adds to Wendy's broader contraction, with more than 300 net restaurant closures recorded since 2024. Franchisee distress is now the dominant driver rather than company-owned unit rationalization.
Trump administration actions in February and August 2025 authorized 380,000 metric tons of additional tariff-reduced beef from Argentina to ease domestic prices. Ground beef costs have not responded materially, leaving franchise margins compressed. The bankruptcy therefore tests whether import policy alone can offset structural cost and demand issues in the quick-service segment.
Next steps hinge on court-approved asset sales or liquidation timelines. Remaining Meritage units face possible reassignment to other operators or permanent shuttering if bids fall short of required royalties and lease obligations.
Wendy's corporate: At least 40 additional net closures will be recorded by March 2026 as Meritage assets are either sold or liquidated.
