Fox Acquires Roku for $22 Billion in Cash-and-Stock Deal

Fox's $22 billion purchase of Roku extends vertical integration across live content and distribution infrastructure. Vertical integration in video distribution has accelerated since the 2019 Disney-Fox asset split and the 2021 AT&T WarnerMedia separation. Each move traded linear carriage fees for direct audience data and advertising inventory. Fox's 2020 Tubi purchase already demonstrated the strategy; Roku adds the operating layer that surfaces content and captures first-party viewing data across devices.

Fox gains scaled distribution and advertising leverage in high-growth CTV while Roku secures premium live content to defend platform share. The combined firm must still navigate carriage disputes with remaining distributors and potential antitrust review focused on sports rights concentration. Capital allocation remains unchanged, preserving Fox's investment-grade rating and existing dividend and buyback programs.

Integration will focus on embedding Tubi and Fox networks into Roku's home screen and ad stack. Competitors including Amazon, Google, and Comcast are expected to accelerate their own platform-content pairings within the next 18 months.
