Rocket Lab signs definitive agreement to acquire Iridium Communications
Rocket Lab acquires Iridium for $7.1 billion, combining launch vehicles with an operational L-band constellation. The transaction creates immediate vertical integration and adds $900 million pro-forma revenue. FCC and CFIUS approvals remain the primary closing conditions.
The agreement transfers Iridium’s 80-satellite constellation, ground network, and spectrum licenses to Rocket Lab. The transaction requires FCC and CFIUS approvals and is structured as a merger with Iridium shareholders receiving 2.8 Rocket Lab shares per Iridium share. Post-close, Rocket Lab will operate both the Neutron and Electron launch vehicles and the Iridium NEXT constellation.
Rocket Lab’s 2024 10-K shows $329 million cash and $1.2 billion market cap; Iridium’s latest 10-Q reports $1.9 billion revenue backlog. Combined entity pro-forma revenue exceeds $900 million with negative free cash flow narrowing to an estimated $40 million annually once launch cadence reaches 15 missions. Spectrum holdings increase from zero to 8.25 MHz L-band globally.
The deal accelerates vertical integration already visible in SpaceX’s Starlink and Amazon’s Kuiper programs. Rocket Lab gains immediate cash-flow-positive service revenue while securing dedicated launch demand for 70 replacement satellites through 2030. No comparable public company has previously controlled both medium-Earth-orbit constellation operations and orbital launch capability.
Regulatory filings indicate close is targeted for Q2 2026. Integration risk centers on Iridium’s legacy ground segment and Rocket Lab’s ability to maintain 99.7 percent network availability during Neutron transition.
