CoreWeave Credit Spreads Widen as AI Debt Buyers Retreat
CoreWeave’s widening credit spreads are forcing other AI startups to confront tighter debt markets. Primary documents show backlog conversion well below offering assumptions. Lenders are repricing risk on compute utilization forecasts that have not materialized.
CoreWeave, the GPU cloud provider that raised $7.5 billion in junk bonds earlier in 2026 at spreads near 450 basis points, now trades at levels that price in elevated refinancing risk. Secondary market data compiled by Bloomberg show its 2029 notes falling below 78 cents on the dollar after missed utilization targets on contracted Nvidia capacity. The shift reflects a broader repricing of AI-related credit after several smaller model-training firms missed revenue covenants.
Competing incentives are straightforward. Lenders who extended capital on growth assumptions tied to sustained 3x annual compute demand now face a supply glut in available H100 and H200 clusters. CoreWeave’s own 10-Q filing discloses that contracted backlog conversion dropped to 62 percent in the third quarter, below the 85 percent threshold disclosed in its April offering memorandum. This gap directly raises the cost of incremental borrowing for peers such as Crusoe and Lambda.
What comes next hinges on whether hyperscale buyers absorb the excess capacity or whether further price erosion forces additional writedowns. Absent new multi-year commitments above current spot rates, at least two other AI cloud operators have postponed planned $500 million-plus offerings originally slated for November, according to underwriter notes. The pattern mirrors the 2022 leveraged-loan reset in the semiconductor equipment sector once end-demand forecasts were revised downward.
S&P: CoreWeave will be downgraded to CCC by March 2027 if utilization remains below 70 percent for two consecutive quarters.
